Trevisan & Associati assists its national and international clients in matters regarding commercial and corporate law.

In particular, we provide specific all-round consulting and assistance to companies, from incorporation to the organization of the legal internal and external structure, drawing up the by-laws and preparing and keeping the minutes of shareholders' and boards of directors' meetings, as well as preparing corporate proceedings in general, including shareholders' agreements.

In this regard, in particular and through our own network, we are able to provide similar services in all EU countries.

 

 

ACQUISITIONS - JOINT VENTURES

 

Trevisan & Associati provides consulting and assistance also in national and international operations involving company acquisitions.

We have steadily built up considerable experience also in mergers and demergers, as well as in the lease and transfer of companies or of company branches, and in the negotiations for the acquisition of equity holdings and share packets, also in companies listed on the stock market, taking up, in this regard, preliminary exploratory mandates bound by discretion.

Said activities are undertaken for both companies and for institutional or private investors.

 

 

FINANCIAL, BANKING AND INSURANCE LAW

 

Trevisan & Associati provides legal advice and assistance to both domestic and international clients in their investments on financial markets, furnishing exhaustive advice on the composition of financial instruments (including derivatives) and on asset and administrative rights thereof, as well as in the procedures to safeguard and control their investments, with especial reference to listed issuers, including legal aid in court proceedings.

In particular, we provide legal aid in matters involving contracts, forms, financial brokers, investment firms, financial promoters and clients, as well as in litigation arising amongst said parties.

This activity is undertaken also in respect of the relations with the regulatory bodies (Bank of Italy, Consob).

 

 

COMMERCIAL CONTRACTS

 

Trevisan & Associati provides regular assistance to its clients in the negotiation, drafting and execution of commercial contracts.

Broadly speaking, we provide assistance to companies, associations, bodies and natural persons, both Italian and foreign, drawing up international contracts, helping them also in the choice of the appropriate clauses with respect to international law practises.

Through Eurolegal, the network of European law firms to which Trevisan & Associati adheres, we are able to provide preliminary information on the national laws of the foreign countries where our clients intend to start up commercial, industrial and financial projects, and carry out economic and financial operations, allowing them to receive maximum coverage and legal aid in situ for the development of their activities.

 

 

PRIVACY

 

Trevisan & Associati provides consulting to companies and bodies that deal with the processing of personal data, including sensitive data, allowing them to adapt their organization and internal procedures to the field legislation and to developments occurring therein.

We are able to assist our clients in the relations with the Garante (Watchdog Authority), providing them with updates on decisions taken by the Garante on the various operations involving the processing of personal data.

Moreover, we provide assistance to our clients in the safeguard of their rights and of the confidential nature of their personal data.

 

 

LITIGATION

 

Trevisan & Associati provides legal aid, advice and assistance in litigation, especially in matters regarding corporate, financial and commercial law, through all the degrees of judgement, during both the fact-finding and executive stages, including urgent and precautionary proceedings, in formal and informal arbitration, as well as in litigation involving international, private and trial law.

The special relations held with other law firms adhering to Eurolegal, allow us to receive verifications and updates on the regulations governing trial law, particularly in EU member countries.

Furthermore, we have also built up a high level of expertise in the legal safeguard of investors' interests, by also appealing to the regulatory bodies controlling the financial markets (Bank of Italy, Consob), with especial reference to the rejection of invalidity and/or annulment of resolutions adopted by corporate bodies, in conflict with the rules and regulations in force.

 

 

BANKRUPTCY LAW

 

Trevisan & Associati has acquired vast knowledge in the field of bankruptcy law, with reference to insolvency procedures, receivership and compulsory administrative winding-up, as well as in the arrangement with creditors and composition in bankruptcy.

In particular, we have built up specific experience in bankruptcy procedures referring to financial brokerage firms and investment firms, safeguarding both investors and savers.

Through the network of Eurolegal firms, we also provide legal aid in cases involving insolvency procedures, or similar institutions, contemplated by the main European legal systems.

 

 

CORPORATE GOVERNANCE

 

Trevisan & Associati has long been providing consulting and assistance in matters regarding corporate governance, in particular, representing and providing legal aid to institutional investors - chiefly foreign - in their valuations of the fairness and transparency of the conduct of issuers and of administrative and regulatory bodies, with respect to the principles of corporate governance, according to international standards and to local and particular codes of discipline and self-discipline.

In this regard, Trevisan & Associati also has specific experience in legal matters regarding relations among issuers, investors and, broadly speaking, subjects operating on financial markets, for the improvement of financial mechanisms, the dissemination of information and its contents and, in general, in the frame of any disputes which may arise among said parties on the foregoing matters.

In regard to representation and attendance in voting during meetings convened by companies also listed on the stock market, Trevisan & Associati is able to provide any form of legal aid, allowing, in particular, shareholders to exercise at best the administrative and voting rights associated with their share in the capital.
