Corporate advice

 

The Firm provides full assistance to its national and international clients in the field of corporate law.

 

Within such area, the Firm provides in particular support to companies, from ongoing advice to incorporation, legal internal and external structure organization, by-laws drafting, Shareholders and Board of Directors meetings assistance.

 

The Firm provide as well full assistance in corporate proceedings, including shareholders agreement being able, through its network, to supply this service throughout Europe.

 

 

Financial Markets, Banking and Insurance

 

The Firm has a consolidated experience in the laws and regulations governing the financial markets providing advice and assistance to both domestic and international clients in the main transactions on the capital markets such as the composition of financial instruments (including derivatives) and on asset and administrative rights thereof.

 

The Firm also assist its clients in the procedures to safeguard and control their investments, with special reference to listed issuers, including legal aid in Court proceedings in matters involving contracts, forms, financial brokers, investment firms, financial promoters and clients and litigation arising amongst said parties.

 

This activity, is undertaken also in respect of the relations with Regularity Authorities (Bank of Italy,Consob,Isvap).

 

 

Civil and Commercial Law

 

The Firm provides its clients, both Italian and foreign, assistance in a broad range of civil and commercial law issues.

 

In Particular, Trevisan & Associates offers legal aid to companies, associations, bodies and privates in the negotiation, drafting and execution of business agreements and contracts, both domestic and international, helping it's clients in the choice of the appropriate clauses with respect to international law practises.

 

 

Mergers,Acquisitions,Joint Ventures and International Agreements

 

The Firm provides advice and assistance to companies, institutional and private investors in relation to national and international extraordinary corporate transactions including mergers, acquisitions, lease and transfer of companies branches and of companies, equity holdings share packages acquisitions, involving also companies listed on the Italian regulated market.

 

the assistance offered includes advising on the conducting of negotiations, the drafting and negotiation of agreements and of any other required legal document taking up preliminary exploratory mandates bound by discretion.

 

 

Corporate Governance

 

Trevisan & Associati has a long and consolidated experience in the corporate governance field, in particular representing and providing legal aid to institutional investors - chiefly foreign - in their valuations of the fairness and trasparency of the practices exploited by issuers and administrative and regulatory bodies with respect to corporate governance principles, international standards and domestic or specific discipline codes or self-discipline codes.

 

In this regard, the Firm, has also a specific experience in legal matters regarding relations among issuers, investors and subject operating on financial markets for the improvement of financial mechanisms, the dissemination of information and its content and, in general, in the frame of any dispute which may arise among said parties on the foregoing matters.

 

Trevisan & Associati, by its expertise in representation and attendance to shareholders meeting convened by companies listed on the stock market, provides, any form of legal aid and allows, in particular, shareholders to exercise at best administrative and voting right associated with their participation in the capital. In this specific area, as the leading "proxy agent" in Italy, in 2006 the Firm attended over 200 shareholders meeting of companies listed on the Italian stock market on behalf of thousands of foreign institutional investors, casting over 5 billion votes and representing interests of around 45 billion Euro.

 

 

Bankruptcy

 

Trevisan & Associati acquired a consolidated knowledge in the field of bankruptcy law, with reference to insolvency procedures, receivership and compulsory administrative winding-up, as well as in the arrangement with creditors and composition in bankruptcy.

 

In particular, the Firm has a specific experience in bankruptcy procedures referring to financial brokerage firms and investment firms, safeguarding both investors and savers.

 

Due to his network, the Firm provides legal aid in cases involving insolvency procedures, or similar institutions, contemplated by the main European legal systems.

 

 

Domestic and International Litigation

 

The Firm provides a qualified experience in litigation, with special competence in corporate, financial and business law proceedings, before the ordinary Italian courts, during both the fact-finding and executive stages, including urgent precautionary proceedings.

 

Trevisan & Associati provides also legal aid in formal and informal arbitration as well as in litigation involving international, private and trial law, also due to the special relations held with other law firms which allows Trevisan & Associati constant updates on the regulations governing trial law, especially in EU member countries.

 

Furthermore, the Firm also built up a high level of expertise in the legal safeguard of investors' interest, by also appealing to the regulatory Authorities controlling the financial markets (Bank of Italy, Consob), with special reference to the rejection of invalidity and/or annulment of resolution adopted by corporate bodies in conflict with the rules and regulations in force.

 

 

Memberships

 

The Firm is one of the International Honorary Members of the COUNCIL OF INSTITUTIONAL INVESTORS, the association gathering the major US institutional investors and pension funds, located in Washington. The Firm is a member of the INTERNATIONAL CORPORATE GOVERNANCE NETWORK, which gathers some of the main international institutional investors and their representatives, with the purpose of promoting corporate governance principles worldwide.

 

The Firm is a member of EUROLEGAL and AVRIO, two European law firm networks.

 

The Firm is a member of an Italian NETWORK formed by law firms, accountants and tax advisors of Milan, in order to provide assistance in the tax field and in specific questions and problems regarding administrative and penal law.

 

 

Career

 

 

Since May 2007, Mr. Dario Trevisan is the Saving Shareholders' Corporate Representative of the listed company "Marzotto & Figli S.p.A."

 

Since 2005, Mr. Dario Trevisan has been the Saving Shareholders' Corporate Representative of the listed company "Valentino S.p.A."

 

Until July 2003 - Since July 2000, Mr. Trevisan has been a member of the Board of Governors of the International Corporate Governance Network.

 

Since June 2003, Mr. Dario Trevisan has been a member of the Board of Directors of the listed company "Pirelli Real Estate S.p.A.".

 

Until April 2003 - Since October 1996, Mr. Dario Trevisan was a Member of the Board of Directors of the listed company "Ing. Olivetti S.p.A." (today "Telecom Italia S.p.A."); he was also member of the company's Audit Committee.

 

Since May 2001, Mr. Dario Trevisan has been the Saving Shareholders' Corporate Representative of the listed company "Marzotto & Figli S.p.A.".

 

In May 2000, Mr. Dario Trevisan was the Saving Shareholders' Corporate Representative of Banca Nazionale dell'Agricoltura.

 

In 1999, Mr. Dario Trevisan was a member of the Board of Directors of SNIA S.p.A. and member of the "Top Management remuneration committee".
