MINUTES of the GENERAL MEETING

held on 8 th and 9 th November 2002 in Portugal

1. Meeting Opening

1.1 John Clarke, Chairman, opened the Meeting and welcomed all members and guests present. He

thanked Luis Paulo Relogio and his colleagues of the Lisbon Member Law Firm for all their efforts and

the organisational work in co-ordinating this meeting.

1.2 The structure of the Business Agenda for this General Meeting was introduced. John Clarke referred to

the members' wish regarding regular Workshops at all General Meetings. With a view to this meeting’s

schedule, he stressed the need to shorten the Business Agenda as to spread timetables for Workshops

more evenly in the future.

2. Board Retirements

2.1 The Chairman announced the retirement of two Board Members as of this General Meeting: Richard B. Eimer and Luis Paulo Relogio. Both were very long standing members of AVRIO since 1987.

and both gave a ‘farewell’ speech and historical review of the organisation.

2.2 The candidates nominated for appointment to the Board were Tom Farrell (of Farrell and Partners,

Ireland) and Tomasz Kozlowski (of Kancelaria Prawnicza, Poland). The nominations were unanimously

approved.

3. AVRIO ADVOCATI Constitution

3.1 AISBL Registration:

John Clarke referred to the status of the re-establishment of Avrio Advocati as an "Association

Internationale sans but lucratif ("AISBL"), pointing out that all Representatives of Member Firms shall

receive a copy of the Registration Certificate of the Moniteur Belge, immediately after the Certificate

reaches the Contact Office.

3.2 EEIG Liquidation:

The Board had approved the liquidation of this former legal body of the organisation and

Member Proxies were collected at this Meeting.

The winding up will be co-ordinated by the Contact Office and Johan Vanden Eynde, Brussels.
